Affiliate Program Guidelines & Ethical Standards

These Guidelines govern all participants in the Novantum Advisory Group Affiliate Program (the “Program”). Participation constitutes acceptance of these standards in full. Novantum Advisory Group (“Novantum”) is committed to maintaining the highest standards of professional integrity, client service, and ethical conduct across its affiliate network.


1. About the Program

The Novantum Affiliate Program enables qualified consultants, advisors, and strategic partners to introduce prospective clients to Novantum’s consulting and advisory services. Affiliates act as referral partners and are not employees, agents, or legal representatives of Novantum.

These Guidelines apply to:

  • All individuals and entities formally enrolled in the Program
  • Sub-affiliates operating under an enrolled Affiliate’s agreement
  • Any party receiving referral-based compensation from Novantum

2. Eligibility & Enrollment

2.1 Eligibility Criteria

To participate in the Program, candidates must:

  • Have the legal capacity to enter into a binding commercial agreement
  • Hold no outstanding regulatory sanctions, debarment orders, or adverse findings relevant to professional conduct
  • Demonstrate professional credibility and alignment with Novantum’s service areas and values
  • Satisfy Novantum’s standard due diligence requirements prior to enrollment

2.2 Enrollment Process

Prospective Affiliates must complete a formal enrollment process, which includes submission of a completed application, execution of an Affiliate Agreement, and completion of a mandatory compliance orientation. Novantum reserves the right to decline any application at its sole discretion.


3. Ethical Standards & Core Obligations

3.1 Integrity & Honest Representation

Affiliates must represent Novantum’s services accurately, honestly, and fairly at all times. The following conduct is strictly prohibited:

  • Making false, misleading, or exaggerated claims about Novantum’s capabilities, credentials, or outcomes
  • Fabricating or misrepresenting client testimonials, endorsements, or case studies
  • Implying guarantees of results or making commitments not expressly authorised in writing by Novantum

3.2 Conflicts of Interest

Affiliates must proactively disclose any actual, potential, or perceived conflict of interest before submitting a referral. This includes concurrent affiliation with Novantum’s direct competitors, personal relationships with referred prospects, or any financial interest that could bias referral behaviour. Disclosures must be made in writing; Novantum will assess materiality and advise on next steps.

3.3 Client-First Conduct

Affiliates are an extension of Novantum’s professional reputation. Affiliates must:

  • Prioritise the genuine interests of referred clients over personal compensation incentives
  • Refrain from pressuring, coercing, or misleading prospects into engaging Novantum’s services
  • Direct clients only to Novantum services that are genuinely appropriate for their needs
  • Maintain professional courtesy and respect in all communications involving Novantum

4. Compliance & Legal Obligations

4.1 Anti-Bribery & Anti-Corruption

Affiliates must comply with all applicable anti-bribery and anti-corruption laws. Prohibited conduct includes offering, providing, or receiving any improper payment, gift, or benefit intended to influence a business decision, and using Program compensation to fund payments to third parties for improper purposes. Affiliates must promptly report any suspected corrupt conduct to Novantum.

4.2 Data Privacy

Affiliates who handle personal data of referred contacts must comply with all applicable data protection legislation, including the General Data Protection Regulation (GDPR) and other relevant Data Protection Act where applicable. Affiliates must ensure that any personal data shared with Novantum has been collected lawfully, with appropriate consent or legitimate basis, and must notify Novantum promptly of any suspected data breach involving referred contacts.

4.3 Promotional & Advertising Standards

Affiliates must obtain written approval from Novantum prior to using Novantum’s name, logo, or trademark in any promotional materials, website copy, or advertising. All marketing activities must reflect Novantum’s brand values and professional status. Public statements on behalf of Novantum are strictly prohibited unless specifically authorised in writing.


5. Compensation Principles

The compensation framework is designed to reward professional introductions and advisory support that lead to successful engagements. Fees are calculated based on the net value of the first engagement or project secured through the referral. Payment of fees is contingent upon the referred client successfully executing a contract with Novantum and fulfilling initial payment obligations. Affiliates are solely responsible for any tax liabilities arising from Program compensation. Novantum reserves the right to withhold compensation in cases of material breach of these Guidelines.


6. Brand Representation & Intellectual Property

Affiliates are granted a limited, non-exclusive, non-transferable licence to use approved Novantum trademarks and branding solely for Program purposes. This licence may be revoked at any time. Affiliates must not register or attempt to register any domain name, social media handle, or trademark that is confusingly similar to Novantum’s intellectual property.


7. Confidentiality

In the course of participation, Affiliates may receive non-public information relating to Novantum’s business, clients, and operations. Affiliates must:

  • Treat all non-public information as strictly confidential and use it solely for Program purposes
  • Not disclose confidential information to any third party without Novantum’s prior written consent
  • Return or securely destroy confidential materials promptly upon request or upon termination of participation

These confidentiality obligations survive the termination of an Affiliate’s participation in the Program.


8. Suspension & Termination

Novantum may suspend or terminate an Affiliate’s participation immediately in the event of a material breach of these Guidelines or the Affiliate Agreement, conduct that damages Novantum’s reputation, findings of fraud or dishonesty, or insolvency proceedings against the Affiliate. Either party may end participation without cause upon 30 days’ written notice. Upon termination, all brand licence rights cease immediately. Outstanding qualifying fees will be settled within 60 days, subject to any applicable recovery rights.


9. Reporting & Accountability

Novantum encourages Affiliates and members of the public to report concerns about conduct that may violate these Guidelines. Reports can be submitted through the contact form on the Novantum Advisory Group website at novantum.com. Novantum will investigate all credible reports in a fair and timely manner. Retaliation against any person who raises a concern in good faith is prohibited. Novantum may apply sanctions including warnings, suspension, fee recovery, or termination of participation, depending on the severity of any finding.


10. Governing Law

These Guidelines are governed by the laws applicable under each Affiliate’s individual agreement. Disputes not resolved amicably within 30 days will be referred to binding arbitration under the applicable institutional rules. Nothing in these Guidelines limits any rights Novantum may have under applicable law.


11. Policy Review & Updates

Novantum reviews these Guidelines at least annually and reserves the right to update them at any time. Material changes will be communicated to enrolled Affiliates with reasonable notice. The current version of this Policy is always available on the Novantum Advisory Group website and supersedes all prior versions. Continued participation following notice of an amendment constitutes acceptance of the updated terms.
